Choose the Right Construction Business Entity with JAC Consulting

Indonesia’s construction sector offers several legal structures, each tailored to different ownership models and operational requirements. Selecting the right entity type is crucial for compliance and long-term success. Your choice should align with business objectives, foreign investment level, and project complexity.

1. National Construction Services Enterprise (BUJK-N)

This entity is designed for domestic entrepreneurs or companies registered in Indonesia. BUJK-N is the foundation for local construction businesses and is often required for partnerships with foreign entities.

2. Foreign Investment Construction Services Entity (BUJK-PMA)

BUJK-PMA is a joint venture between a domestic BUJK-N and a foreign construction company (BUJK-A). This structure enables foreign investors to participate in Indonesia’s construction market while meeting local compliance requirements.

  • PT PMA (Foreign-Owned Limited Liability Company): A PT PMA allows foreign ownership of up to 67% for non-ASEAN investors and 70% for ASEAN investors. This entity provides full commercial rights, enabling foreign companies to operate independently under Indonesian law.

  • BUJKA (Foreign Construction Representative Office): BUJKA permits 100% foreign ownership, but its scope is limited to large-scale, complex projects. Foreign contractors must form a Joint Operation (JO) with a local BUJKN to execute projects, as BUJKA cannot operate independently.
